1. THE MISSION OF THE FACC
Building value for members — connecting companies, delivering market access, and supporting growth across the U.S. market.
The French-American Chamber of Commerce is a nonprofit transatlantic business hub connecting French, American and international companies across the U.S. market. Present in Houston and Austin, the FACC delivers high-level networking, business development, market intelligence, talent services, and industry events — bridging two of the world’s most dynamic economies.
Part of a global network: The FACC is a member of the French-American Chamber of Commerce network and of CCI France International — a worldwide network of 120 chambers of commerce present in 95 countries, representing over 33,000 member companies.
2. THE ROLE OF THE BOARD OF DIRECTORS
The Board of Directors is responsible for accomplishing the mission of the FACC. Its role is not to manage daily operations, but to provide strategic guidance, oversight, credibility and access to networks — supporting the Executive Director and team with perspective, introductions, sound governance and alignment around the Chamber’s mission.
a. The Three W’s — What Is Expected of You

b. Key Bylaws Provisions — What You Need to Know (Article 4)
The following provisions from the FACC Bylaws are particularly important for Board Members to be aware of. The full Bylaws document is available in the Shared Drive (see section d below).
Board composition (Art. 4.01): The Board shall have between 9 and 19 Directors. This number may be increased up to 25 by majority vote of the Board.
Election & eligibility (Art. 4.02): Directors are nominated by the President and elected at a Member Meeting. Only representatives of Corporate Members in good standing are eligible. A Corporate Member may have no more than one Director on the Board.
Terms (Art. 4.03): Directors serve three-year terms and may be re-elected, but may not serve more than three consecutive terms (9 years total).
Board composition requirements (Art. 4.04): At least one Director must represent Individual Members, and at least one must represent a small or startup business.
Meetings (Art. 4.05): Board meetings are held at least quarterly. Written notice must be sent by email at least 10 days and no more than 30 days before any meeting.
Compliance & removal (Art. 4.06): Directors must comply with all Chamber policies. Any Director may be removed for or without cause by a vote of Members at a Special Meeting.
Quorum (Art. 4.08): A majority of Directors constitutes a quorum. Board decisions are taken by majority vote of Directors present.
Remote meetings (Art. 4.11): Meetings may be held by phone or video conference, provided at least 50% of participants consent and all can communicate concurrently.
c. Practical Expectations
Attend quarterly Board meetings and the Annual General Assembly whenever possible.
Review materials in advance and come prepared with constructive feedback.
Support the Chamber through introductions to members, sponsors, partners, speakers or relevant institutions.
Act as an ambassador for the FACC and help strengthen its visibility across the French-American business community.
Respect confidentiality, disclose conflicts of interest and contribute to a collaborative Board culture.

b. How the Board Operates
The Board of Directors meets four times per year in regular Board Meetings. These sessions are the primary forum for strategic discussion, program review, and key decision-making. Attendance is expected from all Board Members, and the agenda is circulated in advance by the FACC team.
Once a year, the FACC holds its Annual General Meeting (AGM), typically in May. The AGM brings together the full membership of the FACC, presents the year’s results and financial statements, and formally elects or re-elects Board Members. Board Members are expected to attend and actively participate in the AGM.
Between Board Meetings, the FACC team coordinates with Board Members on specific initiatives, events, and committee work. Board Members are encouraged to stay engaged and responsive throughout the year.
c. Committees & Expert Groups
The FACC Texas governance structure includes two mandatory committees and several ad hoc expert groups that Board Members and senior professionals can join or help create based on priority topics.
Executive Committee
The Executive Committee is a mandatory committee responsible for the day-to-day governance of the FACC between Board Meetings. It includes the President, Chairman, Treasurer, and key Board Members.

Nomination Committee
The Nomination Committee is a mandatory committee that oversees Board Member recruitment, evaluates candidacies, and ensures the Board’s composition reflects the FACC’s strategic priorities.
